Advent to acquire Vermeg, a global provider of capital markets and life insurance technology

London, 2 November 2026 – Advent, a leading global private equity investor, today announced that it has signed an agreement to acquire Vermeg, a global provider of technology for capital markets and life insurance, from Charterhouse Capital Partners, one of the longest-established private equity firms operating in Europe, and Vermeg’s founder, Badreddine Ouali.

Advent is leading the transaction, with a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) participating as a minority co-investor. Ouali will remain a shareholder in the business following the transaction, and will remain actively involved in strategic and client priorities as Vice Chairman.

Vermeg operates through two businesses. Its capital markets business provides post-trade processing and collateral management technology; customers include central banks, clearing houses, central securities depositories, custodians, and buy-side and sell-side firms. Its life insurance business provides core policy administration technology to life and health insurers, primarily in France and the Benelux.

Advent intends to support the management team in accelerating investment in Vermeg’s products, AI capabilities, and customer relationships globally.

Mike Ettling, an Operating Partner at Advent, will become Chairman of Vermeg on completion. A globally recognised enterprise technology leader with over three decades of experience, he also serves as Chairman of Advent portfolio companies Sapiens, a global leader in insurance technology, and Syspro, a global leader in manufacturing and industrial automation technology.

Douglas Hallstrom, Managing Director at Advent, said, “Vermeg is positioned at the intersection of powerful structural trends reshaping global capital markets, as increasing regulatory complexity, harmonization of post-trading workflows and the accelerating shift towards sovereignty of market infrastructure fuel demand for its mission-critical technology. Vermeg’s domain expertise and product scalability is unmatched in its markets. We are thrilled to partner with Badreddine and the Vermeg team, and we look forward to working with Mike as Chairman to build on Vermeg’s incredible foundation, and to accelerate innovation, growth and customer success.”

Badreddine Ouali, Founder of Vermeg, said, “Our teams have spent years building software that financial markets and insurers rely on, and I am proud of what they have achieved. Advent brings the experience and resources to support the next chapter of that work, and I am excited to remain a shareholder and advisor as Vermeg deepens its market leadership and continues to prioritize customer outcomes.”

Mike Ettling, Operating Partner at Advent and incoming Chairman of Vermeg, said, “Vermeg has built a strong position in technically demanding, regulated markets, and its customers rely on its technology for mission critical, increasingly strategic processes. I look forward to working with Badreddine, the management team, and Advent to support the company’s next phase of development.”

Completion of the transaction is expected in the first half of 2027, subject to customary closing conditions, including regulatory approvals.
