Investment model
Advent International Corporation (AIC) is registered with and regulated by the US Securities and Exchange Commission.
AIC is a fund manager. The majority of Advent offices around the world act as advisors to AIC, providing advice and recommendations regarding the acquisition and disposal of portfolio companies.
AIC raises capital commitments privately from qualified institutional investors globally and places them in closed-end funds. Each closed-end fund is a limited partnership, in which investors are limited partners. AIC receives an annual fee for managing the fund and a share of any profit.
Investment committees
Our buyout funds are advised by dedicated investment committees of local senior partners and at least one partner from another region. This model ensures the consistent application of global Advent standards and helps to enhance cooperation and knowledge sharing between regions, especially where investments involve more than one fund.
Fund advisory committees
Each fund also has a dedicated advisory committee of investor representatives. They typically meet with us twice a year to review the portfolio, discuss issues and opportunities and monitor actions involving potential conflicts of interest and investments that would fall outside established investment guidelines.
Compliance and risk management
We have a global compliance and risk management team led by a Chief Compliance Officer that maintains policies and controls in this area and oversees internal governance programs.
Transparency and disclosure
Transparency and disclosure We follow the guidelines on transparency and disclosure for private equity firms produced by the Walker Working Group in the UK and the BVK in Germany. We also provide regular information to trade associations to assist them in analyzing the economic role and contribution of the private equity industry.
Portfolio companies
We encourage our portfolio companies to adopt appropriate corporate governance practices in line with established best practices and local legal and regulatory requirements. Through the discipline, accountability and transparency that it provides a good governance framework is an essential part of a company’s operational infrastructure and a major influence on its long-term earnings potential.
Where a company has grown quickly or undergone significant changes, we often find that governance structures and processes are no longer sufficient. By introducing global standards such as business planning, financial reporting, regular board meetings, supported by appropriate measurement and documentation – all of which we help management to put in place – we prepare our companies to sustain their success once our period of ownership has ended.
